1. Who we are

These terms apply to all services provided by Grovion, a business performance consultancy registered in the Netherlands. By engaging our services, you agree to these terms.

2. Services

Grovion provides business performance consultancy services including business diagnosis, strategic planning, implementation support, and monitoring. The exact scope of each engagement is agreed in writing before work begins.

3. Engagement and payment

• All engagements are confirmed in writing (email or signed agreement).
• Pricing is agreed before the engagement starts. No work begins without written agreement.
• Invoices are due within 14 days unless otherwise agreed.
• Late payments may incur statutory interest under Dutch law.

4. Cancellation

Either party may cancel the engagement with 14 days written notice. Work completed up to the cancellation date is invoiced at the agreed rate. Deposits are non-refundable unless Grovion cancels without cause.

5. Confidentiality

Grovion treats all client information as strictly confidential. We do not share, sell, or disclose any business information, financial data, or strategic details provided during an engagement. This obligation continues indefinitely after the engagement ends.

6. Intellectual property

All deliverables produced during an engagement — reports, templates, systems, and tools — become the property of the client upon full payment. Grovion retains the right to use anonymised, aggregated insights for internal improvement and marketing purposes, without identifying the client.

7. Liability

Grovion provides advice and implementation support based on the information available. We are not liable for outcomes resulting from client decisions, market conditions, or information the client did not provide. Our total liability is limited to the fees paid for the relevant engagement.

8. Governing law

These terms are governed by Dutch law. Any disputes will be submitted to the competent court in the Netherlands.
